Agreement
These terms govern your use of www.capitaledgeconsultants.com and any services you engage from Capital Edge Consulting Group ("we", "us"). By using this site or engaging our services, you agree to these terms. Specific engagements are governed by a signed statement of work or subscription agreement, which controls if it conflicts with these terms.
Services
We provide business consulting services including constraint identification and removal, workflow discovery and process documentation, AI automation implementation, and AI agent deployment. We also provide free downloadable resources, diagnostics, and educational content through this site. Free resources are provided for your own business use and carry no warranty of fitness for any particular purpose.
Payment Terms
We offer three engagement structures. One-time engagements are billed per the statement of work, typically with a deposit at signing and the balance at defined milestones. Retainers are billed monthly in advance and continue until either party gives 30 days written notice. Subscriptions are billed monthly or annually in advance through our billing provider and renew automatically until cancelled; cancellation takes effect at the end of the current billing period. Invoices are due within 15 days unless the statement of work says otherwise. Late amounts may accrue interest at 1.5% per month or the maximum allowed by law, whichever is less.
Intellectual Property
Upon full payment, you own the deliverables created specifically for your engagement: process documentation, workflow designs, and configurations built for your business. We retain ownership of our methodologies, frameworks, diagnostics, templates, and any pre-existing materials, and we grant you a perpetual, non-exclusive license to use them within your business as embedded in your deliverables. Site content, including articles and downloadable resources, is our copyrighted material and may not be republished or resold without written permission.
Client Responsibilities
Our work depends on accurate information and timely access. You agree to provide truthful information about your business, reasonable access to the people and systems relevant to the engagement, and timely review of deliverables. Recommendations are advisory; decisions about implementation, staffing, and operations remain yours.
Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from the site or our services is limited to the amount you paid us in the twelve months preceding the claim, or one hundred dollars for users of free resources. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost business opportunities, even if advised of the possibility. Business outcomes depend on factors outside our control, and we do not guarantee specific results.
Governing Law and Disputes
These terms are governed by the laws of the State of Texas without regard to conflict of law principles. Before filing any claim, both parties agree to attempt good-faith resolution by written notice and a 30-day negotiation period. Any dispute that cannot be resolved will be brought exclusively in the state or federal courts located in Dallas County, Texas, and both parties consent to their jurisdiction.
Termination
Either party may terminate an engagement for material breach if the breach is not cured within 15 days of written notice. You may cancel a retainer with 30 days written notice and a subscription effective at the end of the billing period. On termination, you pay for work performed through the termination date, and we deliver all completed work product. We may suspend or terminate site access for misuse, including scraping, reselling content, or attempting to disrupt the service.
Changes
We may update these terms by posting a revised version with a new effective date. Continued use of the site after a change constitutes acceptance. Changes do not apply retroactively to signed engagements.
